This allows us to grow and create a program that creates the best opportunity to succeed for both our business and yours.
Please consider the following terms of our Wholesale Accounts, and if you are in agreement, complete the additional required fields using our Reseller Application Form below. Once we determine that our interests are mutually beneficial, we’ll send you our price list and other applicable information and will upgrade your account for tax-free status and to receive our reseller’s discount (usually 50% off of MSRP).

Wholesale Agreement and Terms of Sale (Updated 10-01-2023)
QUALIFICATIONS
You must have an established business with an EIN issued from the Internal Revenue Service.
You should have supporting evidence such as a website, social media accounts, etc. to confirm that you are indeed operating under that business. As long as these products are sold responsibly we are happy to work with you. We reserve the right to terminate a wholesale account at any time if we feel it is not a fit or if it cause a negative reputation for our brands.
MINIMUM ORDER REQUIREMENTS
All accounts have a minimum order requirement (M.O.Q.). This amount is $250.
WEB COMMERCE
Please advise us if you plan to sell any of our items on your own website or online marketplaces such as Amazon, eBay, etc. We need to have a heads up on this prior to the items going up for sale. Any seller failing to disclose this to us can be considered in breach of contract resulting in termination of contract as well as the possibility of legal recourse.
RESELLING TO WHOLESALE ACCOUNTS
Any Wholesale Account who purchases Joytrust Wholesale.com’s goods and products for resale in any form is required to strictly adhere to these Wholesale Account guidelines as set forth in this Wholesale Agreement. Any Wholesale Account who does not adhere to these guidelines regarding the resale of Joytrust Wholesale.com goods and products will be considered in breach of contract and subject to termination of this agreement as well as possible legal recourse.
PAYMENT METHODS
At this time, Joytrust Wholesale.com is not extending credit terms. All orders must be accompanied by pre-payment. You can pay via PayPal through our site. We are not set up to accept credit cards. But, if you prefer to pay by credit card, you can enter your credit or debit card info through PayPal. You do not need a PayPal account. Orders will not be filled unless your order is paid in full and the Wholesale Contract is complete and on file. Once your wholesale status has been approved, you will be able to login and view wholesale pricing and place your order. The Wholesale password will be emailed to you once your Wholesale Application has been completed and approved. All products are to be purchased for resale only. Your wholesale account is not to be used by anyone other than you. Wholesale products are not for gift giving. We accept credit card payment online via our website. We do not accept checks.
PACKAGING
All products come unpackaged and may require additional tagging and package prior to resale.
SHIPPING/HANDLING
Items will not be shipped until full payment is received. No COD orders. On all orders, we include the cost of packaging materials and handling fees in your shipping total. We may send the order as signature-required. It is your responsibility to make sure someone is there to receive the order and sign for it. International orders may incur extra customs fees. You are responsible for all import and customs fees.
SHIPPING ERRORS, RETURNS, AND WARRANTY
Order errors must be brought to Joytrust Wholesale.com attention within 2 business days of receipt of shipment. We endeavor to protect your reputation, and ours; if you or your customer finds an issue related to manufacturing defects during the life of the product we will fix or replace the product. This warranty applies as long as original “TheKinkShop.com” branding/tagging has not been removed and the product has not been altered in anyway.
MERCHANTABILITY AND MISREPRESENTATIONS
Wholesale Account agrees that Joytrust Wholesale.com makes no warranty, express or implied, as to the merchantability of Joytrust Wholesale.com products. Wholesale Account also agrees that Joytrust Wholesale.com is not liable for any misuse or misrepresentations of the goods by the Wholesale Account or the final retail purchaser or consumer, and indemnifies Joytrust Wholesale.com for any legal actions that emanate from such actions. Joytrust Wholesale.com reserves the right to change the terms of this Agreement as necessary. Either party with 30-day written notice can terminate wholesale relationship.
CONFIDENTIALITY
No information about existing and active wholesale information will be shared with anyone that is not the assigned individual. Failure to comply with this will be considered a breach of contract and will result in the termination of contract as well as possible legal recourse.
EVENTS
If Joytrust Wholesale.com and any Wholesale Account holder be present at the same event. The Wholesale Account holder agrees not to sell any of Joytrust Wholesale.com’s products or good at that event without talking to us about it first. We are happy to work out an arrangement that helps us both.
CONFIRMATION OF AGREEMENT TO POLICIES, TERMS & CONDITIONS
I agree that I will not file a chargeback with my issuing bank and understand in doing so I give Joytrust Wholesale.com the right to take legal action to enforce these conditions. In the event Joytrust Wholesale.com must seek legal action to enforce these conditions or collect a debt, defendant shall bear legal fees. I agree that I will not allege to consumers that I manufactured these products myself, nor appointees of myself. I have reviewed and understand Joytrust Wholesale.com policies and procedures for payment and shipping as well as all terms and conditions. I authorize Joytrust Wholesale.com to keep this agreement on file and apply these policies to all future transactions made between Joytrust Wholesale.com and myself. These terms are subject to change at any time and you will be notified of such changes. We reserve the right to refuse any wholesale order for any reason. We reserve the right to terminate any wholesale account found to be violating this agreement or any of the other terms and conditions stated herein. Remember, we are here to work it out any issues with you.
